Version 1.0 — Effective 1 October 2026
1. Who we are and what this agreement covers
This agreement (“Agreement”) is between XtenCore, registered with the Dutch Chamber of Commerce (KvK) under number 42178845, VAT number NL002877816B87 (“XtenCore”, “we”, “us”), and the organisation on whose behalf the Software is installed or used (“Customer”, “you”).
It applies to the Data Quality Companion extension for Microsoft Dynamics 365 Business Central, including its trial and paid subscriptions, updates and documentation (the “Software”). You can reach us at support@xtencore.com.
Microsoft is not a party to this Agreement. The right to use the Software comes from XtenCore, not from Microsoft, and Microsoft is not responsible for the Software or for support of it.
2. Acceptance and business use
- By installing the Software, or by having it installed in your Business Central environment, you accept this Agreement. The person accepting confirms that they are authorised to bind the Customer.
- The Software is offered to businesses and professional users only, not to consumers.
- If you do not accept this Agreement, do not install or use the Software, and uninstall it if it is already installed.
3. Definitions
- Tenant: the Microsoft Entra tenant of the Customer in which the Software is installed, identified by its Tenant ID.
- Plan: Trial, Starter, Pro, or any other plan we offer.
- License Server: the XtenCore online service that verifies the licence status of a Tenant.
- Customer Data: all data in the Customer’s Business Central environments, including master data, Change Log entries, and the results the Software calculates from them.
4. Licence grant
- Subject to this Agreement and payment of the applicable fees, we grant you a non-exclusive, non-transferable, non-sublicensable, revocable right to install and use the Software in your Tenant for your internal business operations, for the duration of your Trial or paid subscription.
- The licence is per Tenant. It covers all Business Central environments and companies within the licensed Tenant. A separate Tenant, including a Tenant of an affiliated company, needs its own subscription unless we agree otherwise in writing.
- The Software is licensed, not sold. All rights not expressly granted remain with XtenCore.
5. Plans and trial
- The features included in each Plan are described on xtencore.com/pricing and in the AppSource listing at the time you subscribe. We may improve or change the Software. We will not remove a feature that was included in your Plan when you subscribed for the remainder of the billing period you have already paid for.
- The Trial is free of charge and lasts 30 days from the first successful contact between the Software and the License Server, which happens automatically on first use. Each Tenant is entitled to one Trial. When the Trial ends, the licensed features stop working unless you subscribe to a paid Plan.
6. Subscription and fees
- Paid Plans are subscriptions billed in advance, monthly or annually as you choose at purchase, at the prices shown on the pricing page when you purchase. Prices exclude VAT; VAT is added where applicable.
- Purchases are handled through Stripe. Your Tenant ID is passed along as a reference so that we can link your payment to your licence. You are responsible for purchasing with the Tenant ID that belongs to the Tenant you want to license and for providing accurate billing details.
- Subscriptions renew automatically for the same period until cancelled.
- You can cancel at any time through “Manage Subscription” in the Software, which opens the Stripe customer portal. Cancellation takes effect at the end of the current billing period, and you keep access until then. Fees already paid are not refunded, except where the law requires it or where we agree otherwise in writing.
- If a payment fails or is reversed, we may suspend the Plan’s features until the amount is settled. The change takes effect the next time the Software verifies your licence.
- We may change prices. A new price applies only from a renewal that starts at least 30 days after we have notified you (by email to your billing contact or on our website). You can cancel before the new price applies.
- Changes of Plan are made through the customer portal and are applied as shown there.
7. Licence verification
- The Software contacts the License Server to verify your licence status. For this it sends your Tenant ID and a licence key. Our Privacy Policy explains exactly what is processed.
- You may not block, spoof, or otherwise circumvent licence verification, and you may not share your licence key with anyone outside your Tenant.
- If the License Server cannot be reached, the Software continues to work on the last known licence status for a limited grace period. After that, we may disable paid features until verification succeeds again. We make reasonable efforts to keep the License Server available but do not guarantee uninterrupted availability.
8. Restrictions
You may not, and may not allow others to:
- copy, modify, translate or create derivative works of the Software, except where mandatory law allows it;
- decompile or reverse engineer the Software, except to the extent mandatory law allows it despite this restriction;
- sublicense, resell, lease, or make the Software available to third parties outside your Tenant, including as a hosted or managed service;
- circumvent technical or licensing restrictions;
- use the Software in violation of applicable law;
- remove or alter copyright or other proprietary notices.
9. Your data and your responsibilities
9.1 Your data stays with you. The Software runs inside your Business Central environment. We do not access, copy, or receive Customer Data. The only data that leaves your environment is the licence data described in Section 7.
9.2 You are responsible for Customer Data, for the rules you configure (such as mandatory fields and conditions), and for ensuring that your own processing of Customer Data complies with applicable law, including the GDPR. The Software does not make your organisation compliant with any law or regulation.
9.3 Editing data. Users can correct field values directly from the Software’s Mandatory Fields Overview. Such changes are made under the user’s own Business Central permissions and through standard Business Central validation. The user, and the Customer, are responsible for the changes made.
9.4 Change Log. When you mark a field as mandatory in the Software, it switches on Business Central’s Change Log for that field. The Change Log records old and new values and user IDs, may contain personal data, and increases the size of your database. It stays entirely within your environment, and you are responsible for its retention and legal basis. Change Log tracking for a field is switched off again when you clear its “Mandatory” flag or delete its rule, and you can always manage it in Business Central’s Change Log Setup. We recommend testing your configuration in a sandbox environment before using it in production.
9.5 Scores are indicative. Completeness scores and overviews are based on the rules you configure. They are an aid, not a guarantee that your data is complete, accurate, or fit for a particular legal or business purpose (for example, invoicing or reporting requirements).
10. Intellectual property
The Software, its documentation, and all related intellectual property rights belong to XtenCore or its licensors. Nothing in this Agreement transfers ownership to you. Customer Data remains yours.
11. Support and updates
11.1 Support is provided by email at support@xtencore.com on a reasonable-efforts basis during normal Dutch business days. We do not offer a service level or guaranteed response times unless agreed in writing.
11.2 Updates are published through Microsoft AppSource. Business Central environments may install updates automatically according to the settings in your environment.
12. Warranty disclaimer
To the extent permitted by law, the Software is provided “as is” and “as available”. We do not warrant that it will be error-free, uninterrupted, or suitable for your particular purposes, and we make no implied warranties beyond those that cannot be excluded by law.
13. Limitation of liability
13.1 Our total liability arising from or in connection with this Agreement, whether in contract, tort or otherwise, is limited per calendar year to the fees you paid for the Software in the 12 months before the event that caused the damage. For Customers who have not paid any fees (for example, during the Trial), this limit is EUR 100.
13.2 We are not liable for indirect or consequential damages, including lost profits, lost revenue, loss of goodwill, or business interruption. Loss of or damage to Customer Data is your responsibility; you should keep backups, which Business Central provides for online environments.
13.3 Nothing in this Agreement limits or excludes liability for intent or deliberate recklessness (opzet of bewuste roekeloosheid), or any liability that cannot be limited or excluded by law.
14. Term and termination
14.1 This Agreement starts when you accept it and continues for as long as you use the Software, or until it is terminated.
14.2 You can terminate by cancelling your subscription (Section 6.4) and uninstalling the Software.
14.3 Either party may terminate this Agreement with immediate effect by written notice if the other party materially breaches it and does not remedy the breach within 14 days after written notice. We may also suspend or end your access without prior notice if you circumvent licence verification or use the Software unlawfully.
14.4 When this Agreement ends, your licence ends and you must stop using and uninstall the Software. Customer Data in your Business Central environment is not affected, apart from the Software’s own configuration. Sections 8, 10, 12, 13, 15, 16 and 17 continue to apply after termination.
15. Third-party services
The Software runs on Microsoft Dynamics 365 Business Central and is distributed through Microsoft AppSource. Payments are processed by Stripe. Your use of those services is governed by their own terms. We are not responsible for them.
16. Privacy
We process personal data as described in our Privacy Policy. For the licence and billing data described there, we act as the data controller.
17. General
17.1 Changes. We may update this Agreement. For existing customers, an update takes effect at the next renewal, or 30 days after we notify you, whichever is later. If you do not accept the change, you can cancel your subscription before it takes effect.
17.2 Force majeure. Neither party is liable for a failure caused by circumstances beyond its reasonable control.
17.3 Assignment. You may not assign this Agreement without our written consent. We may assign it to a successor to our business.
17.4 Entire agreement and severability. This Agreement is the entire agreement between us regarding the Software. If a provision is found invalid, the rest remains in force and the invalid provision is replaced by a valid one that comes closest to its intent.
17.5 Notices. We may send notices to the billing or contact email address you gave us. You can send notices to support@xtencore.com.
17.6 Governing law and courts. This Agreement is governed by Dutch law. The UN Convention on Contracts for the International Sale of Goods does not apply. Disputes are submitted to the competent court of the Rechtbank Oost-Brabant (seated in ‘s-Hertogenbosch), unless mandatory law provides otherwise.
17.7 Language. The English version of this Agreement prevails over any translation.
